End-User License Agreement for Zap

Effective Date: November 19, 2025

1. Introduction

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or an entity) and Ventana Tools, LLC ("Ventana," "we," "us," or "our") regarding your use of Zap, a free image optimization application ("Zap" or "Software").

2. License Grant

Ventana grants you a free, non-exclusive, non-transferable, revocable license to download, install, and use Zap on any number of Windows devices that you own or control.

This license is provided at no cost, for personal or organizational use, subject to the restrictions outlined in this EULA.

3. License Restrictions

You may not:

• Modify, translate, adapt, or create derivative works of the Software;
• Reverse engineer, disassemble, decompile, or attempt to derive the source code;
• Rent, lease, sell, sublicense, distribute, or otherwise make Zap available to third parties as a paid product;
• Remove or alter proprietary notices;
• Use the Software in ways that infringe intellectual property rights or violate applicable laws.

4. Intellectual Property Rights

Zap is licensed, not sold. Ventana retains ownership of the Software and related documentation. All rights not expressly granted under this EULA are reserved.

5. Important Usage Notices

• File Modification Risk: In "in-place" mode, Zap permanently overwrites original files. Users are strongly advised to back up images before optimization.
• Administrator Privileges: Certain features may require elevated permissions on Windows. By using Zap, you acknowledge and accept this requirement.
• Automatic Updates: Zap includes an auto-update mechanism. By using Zap, you consent to the download and installation of updates.
• Temporary Files: Drag-and-drop actions or optimizations may create temporary files in your Downloads folder or other directories.

6. Third-Party Components

Zap incorporates open-source libraries, including but not limited to:

• imagemin and plugins (MIT License)
• mozjpeg, pngquant, gifsicle, optipng, svgo, webp (MIT or equivalent permissive licenses)
• TypeScript (Apache-2.0 License)

A complete list is available in the Third-Party Notices. You agree to abide by the terms of these third-party licenses.

7. Disclaimer of Warranties

Zap is provided "as is," with all faults, defects, bugs, and errors. Ventana makes no warranties or guarantees of any kind, including compression ratios, quality retention, or compatibility. Some optimizations may result in larger files or degraded quality.

8. Limitation of Liability

Ventana shall not be liable for any damages arising out of or related to your use of Zap, including but not limited to:

• Loss, corruption, or permanent deletion of image files or other data;
• Inability to recover original files once optimized or overwritten;
• Any indirect, incidental, consequential, special, or punitive damages, even if we have been advised of the possibility of such damages.

By using Zap, you acknowledge that file optimization may result in irreversible changes and agree that you are solely responsible for maintaining backups of your files before using the Software.

9. Indemnification

You agree to indemnify and hold harmless Ventana, its officers, employees, and affiliates from claims or liabilities arising from your use of Zap or your violation of this EULA.

10. Termination

This EULA will terminate immediately if you fail to comply with its terms. Upon termination, you must uninstall and destroy all copies of Zap.

11. Modification of Terms

Ventana reserves the right to modify this EULA at any time. Updated terms will be effective upon posting. Continued use of Zap constitutes acceptance of the updated terms.

12. Governing Law

This EULA shall be governed by and construed under the laws of the state in which Ventana Tools, LLC is registered, without regard to conflict of laws principles.
